Code of Conduct

Overview
National Utility Service, Inc, including its international subsidiaries, (NUS or Group), is committed to upholding the highest ethical standards, fostering a culture of integrity, professionalism and respect. NUS pledges to provide a safe workplace, treat employees with dignity and respect, act fairly and ethically, and use environmentally responsible practices across all of our offices and staff locations.
To ensure that our values are being upheld, NUS mandates all its international offices and employees operate in accordance with the principles set forth within this Code of Conduct (the Code) as well as in full compliance with all applicable local laws and regulations. We recognize that our actions not only reflect upon our organization and employees but also impact our valued clients. For this reason, we hold ourselves to the strictest ethical standards, ensuring that the integrity of our work remains uncompromised.
The maintenance of these ethical standards extends beyond requiring each covered party to abide by the Code. NUS also requires that covered parties report any actions that violate or appear to violate the Code. Our policy as well as applicable laws prohibit retaliation or any adverse action against anyone who has reported or assisted in investigation of violation of the Code.

Labor and Human Rights
Prevention of Involuntary Labor and Human Trafficking
NUS ensures that all work is being conducted voluntarily. We do not traffic persons or use any form of slave, forced, bonded, indentured, or prison labor. We will never withhold employeesโ original government-issued identification or travel documents. We do not impose any unreasonable restriction on movement within the workplace or upon entering or exiting company-provided facilities. Employees are not required to pay NUS or its agentsโ recruitment fees or other similar fees to obtain their employment.
Prevention of Underage Labor
NUS will only employ individuals who are at least 18 years of age, the applicable minimum legal age for employment, or the applicable age for completion of compulsory education, whichever is the highest.
Safe Workplace
Employeesโ health, safety, and well-being are important to us. NUS provides and maintains a safe work environment and integrates reasonable health and safety management practices into our business. NUS is dedicated to complying with all of the applicable laws, and regulations, regarding employee health and safety. Employees have the right to refuse unsafe work and report unhealthy working conditions. We obtain, keep current, and comply with all required health and safety permits.
Drug & Alcohol Abuse
At NUS, the health and safety of our employees are critical. For this reason, we expect that our employees maintain a drug-free and alcohol-free workplace to ensure a secure environment. The possession, distribution, sale, or use of illegal drugs or controlled substances on company premises or during hours representing the company are strictly prohibited. Similarly, the consumption of alcohol on company premises or during hours representing the company, unless explicitly authorized for business-related events, is also strictly prohibited. We encourage any employee facing issues relating to drug or alcohol abuse to seek help and support.
Responsible Sourcing
We will exercise due diligence and implement due diligence policies concerning our supply chains. NUS will review the supply chains to identify and take appropriate steps to mitigate the use of materials which originate from high risks, including areas associated with conflict, child labor, forced labor and human trafficking, gross human rights violations such as widespread sexual violence, or other reasonably objective high-risk activities, including severe health and safety risks and negative environmental impacts.
Competitors
NUS is committed to maintaining an ethical business environment with healthy competition, which has become essential for driving innovation and progress. Although NUS is devoted to vigorous competition, we ensure that all competition is fair and in full compliance with all trade and competition laws. We will refrain from promoting our business in a manner that is misleading, false, or knowingly infringing upon any third-party trademark, database right, copyright, or other intellectual property right.
Intellectual Property
NUS is aware that intellectual property is a valuable asset. Our intellectual property and know-how provide us with a competitive advantage and are one of the reasons businesses choose to use our services. We respect the intellectual property rights of clients and third parties.
Confidential Information/Personal Data
We understand that the appropriate handling of information is essential to our business. Accordingly, NUS commits to handling client and third-party information in accordance with the terms and conditions defined in any non-disclosure or service agreement entered into business between the parties. Third-party confidential information will be handled with the same care that NUS carefully protects our own. Moreover, NUS will manage any personal data in accordance with applicable national and local laws and regulations.
Anti-Bribery & Anti-Corruption
Our continued success depends on the trust and confidence of our clients and businesses around the globe. Accordingly, NUS is committed to conducting business in accordance with the highest ethical standards and prohibits all forms of bribery and corruption. We abide by all applicable anti-corruption laws and regulations of the countries in which we operate, including the Foreign Corrupt Practices Act (FCPA), UK Bribery Act 2010 (UKBA), and applicable international anti-corruption conventions. We strictly prohibit the giving and receiving of bribes, kickbacks, illegal payments, and any other offer of items of value that may inappropriately influence or reward a client for engaging in our services, whether provided directly or through a third party. Any violation of compliance may result in termination of employment.
